Terms of Service

1. Who we are

Yvy Agency LLC ("Yvy Agency", "we", "us") is a marketing agency registered in Dubai, United Arab Emirates. We provide brand strategy, content creation, paid advertising management, website and landing page creation, social media management, analytics and reporting (the "Services"). "Client" or "you" means the person or company that purchases the Services.

2. Plans, quotes and scope

Services are provided either under a monthly plan or as a one-time project, as described on our website or in a written proposal sent by email. The scope, deliverables and price of each engagement are those of the selected plan or of the accepted proposal. If a written proposal and these terms differ, the proposal prevails for that engagement.

Work requested outside the agreed scope is quoted separately and only started after your approval. Each one-time project includes two rounds of revisions.

3. Prices and payment

• All prices are in US dollars (USD), excluding VAT and any other taxes that may apply.
• Monthly plans are billed in advance at the start of each billing period and renew automatically every month until cancelled.
• One-time projects require a 50% deposit before work starts, and the balance on delivery, unless otherwise agreed in writing.
• Payments are made by card through our third-party payment provider. We never see or store your full card number.
• If a payment fails or is late, we may pause the Services until the payment is made.

4. Advertising budgets

Advertising budgets (ad spend) are paid by the Client directly to the advertising platforms, such as Meta, TikTok or Google. They are not included in our fees and are never collected by Yvy Agency. The Client stays the owner of its ad accounts.

5. Client responsibilities

• Provide accurate information, the access needed to your accounts, and your brand assets in a timely manner.
• Review and approve content within a reasonable time. Delays on your side may delay delivery.
• Make sure you own or have the right to use the materials you send us (logos, photos, product information).
• Make sure your products, services and claims comply with the law and with the policies of the advertising platforms.

6. No guarantee of results

Marketing results depend on many factors outside our control, including your product, your price, your market, your budget and the algorithms of the platforms. We commit to performing the Services with care, skill and transparency. We do not guarantee any specific level of sales, revenue, followers, views or advertising performance.

7. Intellectual property

Once the corresponding fees are fully paid, you own the final deliverables created specifically for you (content, creatives, pages). We keep ownership of our pre-existing tools, templates, methods and know-how. We may show non-confidential work in our portfolio, unless you ask us not to in writing.

8. Confidentiality

Each party keeps confidential the non-public information received from the other party, including account access, business data and results, and only uses it to perform the Services.

9. Cancellation and refunds

You can cancel a monthly plan at any time by email. The cancellation takes effect at the end of the current billing period, and you will not be charged again. Refunds are handled as described in our Refund Policy, which is part of these terms.

10. Suspension and termination

We may suspend or end the Services if the Client does not pay, breaches these terms, or asks us to create or promote content that is illegal, misleading or contrary to the platforms' policies. Amounts already due for work performed remain payable.

11. Limitation of liability

To the maximum extent permitted by law, Yvy Agency is not liable for indirect or consequential damages, including lost profits, lost revenue or lost data. We are not responsible for decisions made by third-party platforms, such as ad rejections or account restrictions. Our total liability for any claim is limited to the amount you paid us for the Services during the three (3) months before the claim.

12. Governing law

These terms are governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates, and the courts of Dubai have jurisdiction over any dispute. Before any legal action, both parties agree to try to solve the issue in good faith by email.

13. Changes

We may update these terms from time to time. The date at the top of this page shows the latest version. Changes do not affect a billing period that has already been paid.
